Official Rules
NO PURCHASE NECESSARY TO ENTER OR WIN. The [Yamaha Guitars #WithHerGuitar contest] the [“Contest” ] and these Official Rules are governed, construed, and interpreted under the laws of the United States. Valid only to legal United States residents (excluding Puerto Rico, US Virgin Islands and Guam) and Canada (excluding Quebec) who are sixteen (16) years of age and older at time of entry. No one under the age of 16 may attempt to enter or submit any personal information. All applicable laws and regulations apply. Void where prohibited, taxed, licensed or restricted by law or regulation.
[CONTEST] PERIOD. This [Contest begins [March 8th 2019] and ends [March 31st 2019] (“[Contest] Period”).
[CONTEST] SPONSOR. This [Contest] is sponsored and administered by Yamaha Guitar Group, Inc., 26580 Agoura Road, Calabasas, California 91302 (the “Sponsor”). Participants agree to be bound by these Official Rules and any decisions made by Sponsor.
ENTER ON-LINE BY: Accessing http://www.yamahaguitardevelopment.com/node/203 during the [Contest] Period and following the on-screen instructions, which include that participants must:
1. Post an image or video to their personal Instagram or Twitter account expressing what inspires them to want to play guitar, or what has inspired them to recently start playing. Profile must be set to “public” or Sponsor will be unable to see the post and entry will not be considered.
2. Post must use the hashtags #WithHerGuitar and #YamahaGuitars .
All entries are deemed made by the holder of the Instagram or Twitter account. All on-line entries must be received no later than March 31st 2019.
By [ “ tagging their Instagram or Twitter photographs or videos with the #WithHerGuitar hashtags”], participants willfully enter the [Contest] and represent that they have all necessary rights to grant a license to the Sponsor to publish and re-use their for any purpose without compensation and that they hereby grant such license together with the right to use their name.
[Only one (1) entry per person. If multiple entries are received from any person, all subsequent entries will be disqualified.] All entries and their content become property of Sponsor and will not be returned. All entries submitted will be used for the purpose of selecting the Prizewinner as described in these Official Rules.
Selection of Winner. The Prizewinner will be determined by [ “BY SPONSOR’S STAFF”] from all completed and eligible entries that were timely received, based on creativity and originality. All decisions made by Sponsor shall be final.
PRIZE.
Prizewinner. The Prizewinner will receive [one (1) Yamaha Revstar RS320 [approximate retail value USD$ 629], BB234 [approximate retail value USD$ 470], or APX600 [approximate retail value USD$ 470].
The Prizewinner[s] will be notified by e-mail on or about [April 5th]. The Prizewinner will have fifteen (15) business days to claim the prize. Prizewinner must sign and return an affidavit of eligibility and liability/publicity release within ten (10) business days of notification. If any winner is deemed a minor in the state, province or country of his/her residence, prize may be awarded to his/her parent/legal guardian, Prizewinner’s parent/legal guardian will be required to claim the prize and to sign the affidavit of eligibility and liability/publicity release.
A disqualification will result and an alternate winner will be randomly selected if the above documents are not signed and returned within the designated time, a prize notification is refused, an entrant is found to be ineligible or non-compliant with these Official Rules, or the prize remains unclaimed for over 15 business days. There is no substitution for any prize or portion thereof, except due to unavailability, in which case a prize of equal or greater value will be awarded at the discretion of Sponsor. Prizes are not transferable, assignable or redeemable for cash. The Prizewinner will be fully responsible for any and all applicable taxes.
All entries are subject to verification prior to awarding of prizes. Eligibility, age, and claims made by Prizewinners also are subject to verification prior to awarding of prizes.

Employees and their immediate family members (defined as spouses, parents, children and legal dependents – including foster and step family members, grandparents, grandchildren, brothers and sisters) or person(s) living in the same household of an employee of Sponsor or Sponsor’s officers, directors, agents, and independent contractors are not eligible to enter this [Contest].
PRIVACY STATEMENT. Participants’ personal information, in conjunction with this [Contest], will be utilized by Sponsor for the sole purpose of selecting and notifying the Prizewinner and will be kept only as long as required by law. RELEASE, INDEMNIFICATION, AND LIMITATIONS OF LIABILITY. By entering, participants, their agents, assigns, and successors release Sponsor and its parent company and their respective trustees, subsidiaries, affiliates, licensees, directors, officers, employees, agents, independent contractors, promotional partners, and prize providers from any and all liability for any costs or expenses resulting from entry in the [Contest] and from any and all liability whatsoever, including, without limitation, for any injuries, death, losses, or damages of any kind caused by or in connection with any prize or resulting from acceptance, possession, quality, use, or misuse of any prize, or any portion of any prize, or parts thereof (including any travel or activity related thereto). All entrants further agree that in the event of any third party claims, damages, losses, injuries, or death arising from or relating to the [Contest], and any prizewinner’s use of any prize, they will indemnify Sponsor from any and all such claim, including attorney’s fees related thereto.
Sponsor and its parent company and their respective trustees, subsidiaries, affiliates, licensees, directors, officers, employees, agents, and independent contractors are not responsible for any kind of computer transmission, electronic, hardware, internet, software, network, technical, or telephone failures and any damaged, delayed, garbled, illegible, incomplete, late, lost, misplaced, misaddressed, misdirected, or stolen mail or e-mail.
Participant agrees that by entering this [Contest], Sponsor may seek damages from participant if participant deliberately damages Sponsor’s website or any other website in conjunction with participant’s partaking in this [Contest] or if participant interferes with the legitimate operation of this [Contest], it is in violation of civil or criminal law.
If, in Sponsor’s exclusive judgment, this [Contest] becomes compromised in any way, Sponsor reserves the right to withdraw or suspend the [Contest] offer, cancel any method of entry, and/or select the prizewinner[s] from all eligible entries received prior to the withdrawal.
FORCE MAJEURE: Without limiting any other provision in these Official Rules, in the event that any of the entrants’ activities or the Sponsor’s operations or activities are affected, as determined by Sponsor in its sole discretion, including, without limitation, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic or public health crisis, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any governmental, federal, state, or local government authority, or any other cause, whether or not specifically mentioned above, subject to any governmental approval that may be required, Sponsor shall have the right to modify, suspend, or terminate the [Contest] and Sponsor shall not be responsible or liable to any entrant or prize winner or any person claiming through such entrant or prize winner for failure to supply the prize or any part thereof. Sponsor is not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s e-mail account to receive e-mail messages.

For a printed copy of the Official Rules or a Winners List, send a self-addressed, stamped envelope to Yamaha Guitar Group, Inc. – “The [Yamaha Guitars #WithHerGuitar contest],” 26580 Agoura Road, Calabasas, California 91302. Residents of Vermont with a return address in Vermont may omit the return postage on their request. Winners List replies will be sent after completion of the [Contest/].

Official Rules
1. SCOPE OF THESE TERMS AND CONDITIONS:
a) These Terms and Conditions apply to the ‘With Her Guitar Competition’ (“Competition”) as described below.
b) This Competition is run by Yamaha Music Europe GmbH, Siemensstrasse 22-34, 25462 Rellingen, Germany (“Yamaha”).
c) By uploading their entry to participate in this Competition, entrants agree that they have read, understood, accepted and will comply with these Terms and Conditions.
2. COMPETITION – HOW TO ENTER
a) The Competition starts at 12:00 am on Friday 8th March 2019 and closes at 11.59pm on Monday 1st April 2019 (“Competition Period”). Entries uploaded before or after the Competition Period will not be eligible.
b) The Competition is open only to women, who are residents of the United Kingdom, the Republic of Ireland, Germany, Switzerland or Austria, and who are 16 years of age and older. Residents who are under the age of 18 must get permission from their parent or legal guardian before entering. Yamaha employees and their family members, any agencies or anyone else professionally involved with this Competition, and all affiliates and employees of such companies, may not enter this Competition.
c) In order to enter the Competition, entrants must post an image or video expressing what inspires them to want to play guitar, or what has inspired them to recently start playing the guitar. Entrants must upload their image or video recording to their own social media profile on Twitter or Instagram using the hashtag #YamahaGuitars and #WithHerGuitar. Entrants must ensure that the image / video post is made public. No other social media platform or hashtag will be accepted. No other entry will be possible.
d) Once an entrant uploads an image / video recording which complies with the above requirements it will automatically be entered into to the Competition, subject to the entrant complying with these Terms and Conditions.
e) There is a limit of one entry per person. If multiple entries are made by the same person, all entries made by that person will be disqualified. Any entries attempted through the use of agencies or robotic, repetitive, automatic, programmed, or similar methods will be disqualified. Incomplete or otherwise illegible entries will be disqualified.
f) No responsibility can be accepted for entries not received by Yamaha for whatever reason.
3. COMPETITION – THE PRIZE
a) There will be one winner of the Competition (“Winner”), who will be selected by a panel of judges made up of Yamaha staff and artists (“Judging Panel”) using the following criteria: absolute discretion, creativity, originality, individuality, persuasiveness. Please note that the image / video quality can have an impact on how well the Judging Panel can assess the image / video recording.
The Judging Panel will download all publicly available and visible images / videos on 11.59pm on Monday 1st April 2019. Only the images / videos, which are publicly available and visible at that exact time can be judged by the Judging Panel and will therefore participate in the Competition.
b) The Winner will receive one prize and can choose between a Yamaha RS320, a Yamaha BB234, a Yamaha APX600, including delivery to a mailing address in the country of its residence. The choice of colour is dependent on availability.
c) Yamaha will notify the Winner within seven (7) days after the Competition closes by sending them a Direct Message to the social media profile used by them to upload their image / video entry. The Direct Message will set out details of how the Winner can claim her prize.
d) If Yamaha does not receive any reply from the Winner within 28 days after the initial Direct Message, or if a Winner is not in compliance with these Terms and Conditions whenever discovered, the prize expires and, at Yamaha’s absolute discretion, an alternative Winner will be selected by the Judging Panel using the same criteria as set out at 3 (a) above.
e) The Winner cannot obtain a cash alternative or other substitution in lieu of any prize.
f) Yamaha’s decision in respect of all matters to do with the Competition will be final and no correspondence will be entered into.
g) Yamaha reserves the right to substitute any prize for a prize of equivalent or greater monetary value, if this is necessary for reasons beyond its control.
h) Yamaha shall not be liable in any way whether for any dispute, disappointment or otherwise which may arise in connection with the Competition including the allocation of prizes.
i) Yamaha is not responsible for inaccurate prize details supplied to it (and passed on to entrants) by any third party connected with this Competition.
4. COMPETITION – IMAGE / VIDEO CONTENT REQUIREMENTS
a) Yamaha shall not be responsible for monitoring the entrants’ uploaded content. However, Yamaha reserves the right to reject any entries or exclude any entrants that breach these Terms and Conditions.
b) Entrants are not permitted to upload any content which is defamatory, private, confidential, embarrassing, offensive, an infringement of any third party rights (e.g. someone else’s copyright or trade mark), obscene, pornographic, indecent, vulgar, disparaging, discriminatory, hateful, threatening, harassing, false, unfair, illegal or misleading; or content which may cause alarm, upset or distress; or content which is otherwise unlawful.
c) By entering the Competition the entrant represents and warrants that:
i) – In case of the performing person being the entrant – it owns the copyright of the image / video by the person(s) recording the performance and has the recording person(s)’ consent to the image / video being posted and reshared on social media platforms.
ii) – In case of the the recording person being the entrant – it owns the copyright of the image / video recording by the person(s) performing and has the performing person(s)’ consent to the image / video being posted and reshared on social media platforms.
iii) the image / video does not contain any material owned by a third party.
The entrant shall indemnify Yamaha from any claims by third parties due to the entrant’s breach of its above mentioned warranties and responsibilities.
d) By entering the Competition, the entrant grants to Yamaha an unlimited, worldwide, perpetual, royalty-free, irrevocable, non-exclusive licence to use the image / video recording uploaded by the entrant for the purposes of this Competition and for promoting its products and/or business. This licence includes the right for Yamaha to edit, crop, adapt, modify, copy, publish, distribute and sub-licence the image / video recording in any way whatsoever. To the extent permitted by law, the entrant will be deemed to have waived their moral rights in the video recording.
5. DISCLAIMER:
Yamaha shall not be liable for any failure to meet these Terms and Conditions where such failure is caused by any supervening circumstances amounting to force majeure. Such circumstances shall include, but shall not be limited to, technical problems, change of terms and conditions or decisions/actions/failure by any third party such as Instagram or Twitter, severe weather conditions, fire, flood, war, earthquake, riots, industrial dispute, terrorism, acts of god, or events that, without fault of either party, render performance impossible or incapable of satisfactory execution.
6. LIABILITY:
Without prejudice to the other statutory requirements for claims, Yamaha’s liability for damages shall be governed by the following disclaimers and limitations of liability.
a) Yamaha’s liability shall be unlimited regarding damage from deliberate or grossly negligent violation of duty by Yamaha or one of its legal representatives.
b) Yamaha shall further be liable where the damage results from negligent violation of essential contractual duties. Essential contractual duties are all of those obligations, the fulfilment of which is a prerequisite for enabling the proper fulfilment of the contract in the first place and upon their compliance the contractual partner may normally trust. In this case Yamaha’s liability is, however, limited with regards to the amount, in accordance with the contractually typical foreseeable damage at the time of the conclusion of the contract.
c) Yamaha’s liability shall not be excluded for injury to life, body, or health which is caused by a deliberate or negligent violation of duty by Yamaha or where Yamaha is subject to a mandatory legal liability, in particular liability in accordance with product liability law.
d) As far as Yamaha’s liability is excluded or limited according to the above provisions, this also applies to the personal liability of Yamaha’s legal representatives, employees, staff, and proxies.
7. PRIVACY POLICY:
a) This Competition is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter, Instagram, or any other Social Network.
b) Yamaha may collect any personal data which is publicly available on an entrant’s social media profile, including their name and social media name. Yamaha may also request that the Winner provides further Personal Data including her name, age and address once the Winner has been selected. Entrants consent to this personal data being used by Yahama for the purpose of administering and executing the Competition and, in respect of the Winner, announcing her name on the Yamaha website and/or any of its social media channels. Any personal data processed by Yamaha will otherwise be processed in conjunction with the following Privacy Policy found at: https://uk.yamaha.com/en/privacy_policy/
c) Details of the name and county of the Winner will be available for one month after the close of this Competition by writing to Yamaha at Marc.Collins@music.yamaha.com and stating the name and date of the Competition.
8. OTHER:
a) If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall be enforced.
b) These Terms and Conditions and any disputes or claims arising out of or in connection with them shall be governed by the laws of Germany.

• Objectionable photos/videos will be rejected from the contest
• By entering the completion you grant Yamaha Music Australia a worldwide, perpetual, irrevocable, royalty-free, and transferable right and license to display your photo/video on Yamaha Music Australia websites and social channels, and to use it in accordance with the Terms and Conditions
• All photos/videos that are eligible for entry are seen by our moderators and are subject to the terms set forth in our Terms and Conditions
• Be sure you are the only person in the picture or that you have obtained all necessary permissions from any other individuals in the picture
• Do not submit any photos/video unless you have taken the picture yourself or have obtained the necessary rights from the person who took the picture

1. By entering the contest you agree and acknowledge that:
(a) you are/ will be the individual pictured in your photograph or you have the consent of all others individuals depicted;

Participant agrees that by entering this [Contest], Sponsor may seek damages from participant if participant deliberately damages Sponsor’s website or any other website in conjunction with participant’s partaking in this [Contest] or if participant interferes with the legitimate operation of this [Contest], it is in violation of civil or criminal law.
If, in Sponsor’s exclusive judgment, this [Contest] becomes compromised in any way, Sponsor reserves the right to withdraw or suspend the [Contest] offer, cancel any method of entry, and/or select the prizewinner[s] from all eligible entries received prior to the withdrawal.
FORCE MAJEURE: Without limiting any other provision in these Official Rules, in the event that any of the entrants’ activities or the Sponsor’s operations or activities are affected, as determined by Sponsor in its sole discretion, including, without limitation, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic or public health crisis, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any governmental, federal, state, or local government authority, or any other cause, whether or not specifically mentioned above, subject to any governmental approval that may be required, Sponsor shall have the right to modify, suspend, or terminate the [Contest] and Sponsor shall not be responsible or liable to any entrant or prize winner or any person claiming through such entrant or prize winner for failure to supply the prize or any part thereof. Sponsor is not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s e-mail account to receive e-mail messages.
